These terms govern your use of Boafo, a business management platform created by SyneroLabs and operated from Accra, Ghana. By creating an account or using any part of the service, you agree to these terms.
What Boafo provides
Boafo is a platform that helps small and medium enterprises manage their business through WhatsApp-based customer communication, order management, invoicing, payment collection, and inventory tracking. Specifically, Boafo provides:
- An AI-powered WhatsApp agent that handles customer conversations, takes orders, and processes inquiries on your behalf
- A web dashboard for managing your business operations including orders, invoices, transactions, inventory, and customers
- Payment processing through Paystack, enabling your customers to pay via Mobile Money and card
- WhatsApp Business API access, managed on your behalf through our WhatsApp Business Account
- Business insights and reporting based on your operational data
Your account
To use Boafo, you must create an account using a valid Ghanaian phone number. You are responsible for maintaining the security of your account. You must be at least 18 years old and legally authorised to operate a business in Ghana.
You agree to provide accurate and complete information during registration and to update your information if it changes. Providing false business information may result in account suspension.
WhatsApp usage
Boafo connects your business to customers through WhatsApp using the Meta WhatsApp Business Platform. By using Boafo, you agree to:
- Comply with WhatsApp's Business Messaging Policy and Commerce Policy
- Only message customers who have initiated contact with your business or have given consent to receive messages
- Not use the platform to send spam, unsolicited marketing, or messages that violate WhatsApp's policies
- Accept that your WhatsApp Business phone number is registered under Boafo's WhatsApp Business Account and managed by us on your behalf
- Accept that message delivery and WhatsApp availability are dependent on Meta's platform and may be subject to disruption outside our control
The AI agent
Boafo's AI agent handles customer conversations on your behalf. While we design the agent to be accurate, helpful, and professional, you acknowledge that:
- The AI agent may occasionally make errors, including incorrect product information, pricing mistakes, or inappropriate responses
- You are responsible for reviewing and correcting any orders or commitments made by the AI agent
- You can take over any customer conversation at any time through the dashboard
- Boafo is not liable for losses resulting from AI agent errors, though we work continuously to improve accuracy
- You should keep your product catalog, pricing, and business information up to date so the agent has accurate information to work with
Payments
Customer payments are processed by Paystack. When you sign up for Boafo:
- We create a Paystack subaccount on your behalf using the Mobile Money or bank account details you provide
- Customer payments are automatically split: your portion is settled to your account, and Boafo retains a platform fee
- The current platform fee is 3% of each transaction. Paystack's own processing fees (approximately 1.95%) are separate and are deducted by Paystack before settlement
- Settlements are processed by Paystack according to their standard schedule (typically next business day for Mobile Money, T+1 for bank transfers)
- You are responsible for any tax obligations arising from payments received through the platform
We reserve the right to change the platform fee with 30 days written notice via WhatsApp.
Your obligations
As a Boafo merchant, you agree to:
- Operate a legitimate business and sell lawful products or services
- Honour orders placed through the platform and provide goods or services as described
- Handle customer complaints, refunds, and disputes fairly and in accordance with Ghanaian consumer protection law
- Keep your product catalog, pricing, and availability information accurate and current
- Respond to customer escalations in a timely manner when the AI agent cannot resolve an issue
- Not use the platform for any illegal, fraudulent, or deceptive activities
- Not attempt to circumvent the platform fee by directing customers to pay outside the platform
Prohibited uses
You may not use Boafo to:
- Sell illegal products or services, including controlled substances, counterfeit goods, or stolen property
- Engage in fraud, money laundering, or financing of illegal activities
- Send spam, harassment, or unsolicited messages to people who have not contacted your business
- Impersonate another business or person
- Interfere with or disrupt the platform's operation
- Reverse engineer, decompile, or attempt to extract the source code of the platform
- Use the platform in any way that violates Ghanaian law
Intellectual property
Boafo's software, design, brand, and documentation are owned by us and protected by applicable intellectual property laws. Your use of the platform does not transfer any ownership rights to you.
You retain ownership of your business data, product catalog, customer information, and any content you provide to the platform. You grant Boafo a licence to use this data solely for the purpose of providing the service.
Data and privacy
Your use of Boafo is also governed by our Privacy Policy, which explains how we collect, use, and protect your data and your customers' data.
Service availability
We aim to keep Boafo available 24/7, but we do not guarantee uninterrupted service. The platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control (including Meta's WhatsApp platform, Paystack's payment systems, or hosting infrastructure issues).
We will make reasonable efforts to notify you of planned maintenance in advance via WhatsApp.
Limitation of liability
To the maximum extent permitted by Ghanaian law:
- Boafo is provided "as is" without warranties of any kind, whether express or implied
- We are not liable for indirect, incidental, or consequential damages, including lost profits, lost sales, or business interruption
- Our total liability for any claim arising from your use of the platform is limited to the total platform fees you have paid to Boafo in the 3 months preceding the claim
- We are not liable for the actions, products, or services of merchants using the platform, nor for disputes between merchants and their customers
Suspension and termination
We may suspend or terminate your account if:
- You violate these terms or WhatsApp's policies
- Your WhatsApp Business number quality rating drops below acceptable levels due to customer complaints
- We receive reports of fraudulent or illegal activity associated with your account
- Your account has been inactive for more than 12 months
- You fail to resolve outstanding customer disputes after reasonable notice
You may close your account at any time by contacting us. Upon closure, we will settle any outstanding payments owed to you and retain your data in accordance with our Privacy Policy.
Dispute resolution
Any dispute arising from these terms will be governed by the laws of the Republic of Ghana. We will first attempt to resolve disputes through good-faith negotiation. If negotiation fails, disputes will be submitted to the courts of Accra, Ghana.
Changes to these terms
We may update these terms from time to time. We will notify you of material changes via WhatsApp at least 30 days before they take effect. Continued use of the platform after changes take effect constitutes acceptance of the updated terms.
